Terms of Service

Welcome to ExportFlow cloud. These Terms of Service ("Terms") govern your access to and use of our website at exportflow.cloud and all export documentation services provided by ExportFlow cloud ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1Definitions

For the purposes of these Terms, the following definitions apply:

  • "Client" or "You" means any individual, business, or entity that engages ExportFlow cloud for documentation services.
  • "Services" means all export documentation preparation, formatting, and delivery services offered by ExportFlow cloud, including but not limited to commercial invoices, packing lists, purchase orders, certificates of origin, and other trade documents.
  • "Documents" means any export documentation prepared by ExportFlow cloud on behalf of the Client.
  • "Order" means a confirmed request for Services submitted by the Client.
  • "Turnaround Time" means the estimated time from Order confirmation to Document delivery.
  • "Revision" means a modification to a Document requested by the Client after initial delivery.
  • "Platform" means our website and all associated digital channels including WhatsApp, email, and any other communication tools used to deliver Services.

2Services Offered

ExportFlow cloud provides professional export documentation preparation services for Indian exporters and global businesses. Our Services include:

2.1 Core Documentation Services

  • Commercial Invoices: Professionally formatted invoices compliant with international trade standards and buyer requirements
  • Packing Lists: Detailed packing lists with accurate weight, dimensions, and package descriptions
  • Purchase Orders: Structured purchase order documents for buyer-seller transactions
  • Certificates of Origin: Documentation certifying the country of origin of exported goods
  • Proforma Invoices: Pre-shipment invoices for buyer approval and LC purposes
  • Bill of Lading Drafts: Draft B/L documents for review before issuance by shipping lines

2.2 Service Scope

Our Services are limited to the preparation and formatting of export documentation based on information provided by the Client. We do not:

  • Provide legal, customs, or regulatory compliance advice
  • Guarantee acceptance of documents by customs authorities, banks, or buyers
  • Act as a customs broker, freight forwarder, or licensed trade agent
  • Verify the accuracy of information provided by the Client

3Order Process and Acceptance

3.1 Placing an Order

Orders may be placed through our website contact form, email at exportflowai@gmail.com, or WhatsApp at +91 63630 05758. An Order is considered confirmed only after we send you a written confirmation (via email or WhatsApp) acknowledging receipt and acceptance of your request.

3.2 Information Requirements

To process your Order, you must provide complete, accurate, and up-to-date information. This includes all details required for the specific document type requested. You are solely responsible for the accuracy of information provided. ExportFlow cloud will prepare documents based on the information you supply without independent verification.

3.3 Order Modifications

Once an Order is confirmed and work has commenced, modifications may be subject to additional charges and revised turnaround times. Please notify us of any changes as early as possible to minimize delays and additional costs.

4Turnaround Time and Delivery

4.1 Standard Turnaround

Our standard turnaround time is 24 hours from the time we receive all required information and Order confirmation. Turnaround times may vary based on document complexity, volume, and current workload.

4.2 Urgent Orders

Urgent or same-day delivery may be available for an additional fee. Please contact us in advance to confirm availability for urgent requests.

4.3 Delivery Method

Completed documents are delivered electronically via email or WhatsApp in PDF format (and editable formats where applicable). Physical delivery is not included in our standard Services.

4.4 Delays

Turnaround times are estimates and not guarantees. We are not liable for delays caused by incomplete information, client-side delays in responding to queries, technical issues beyond our control, or force majeure events.

5Pricing and Payment

5.1 Pricing

Our pricing is as published on our website at the time of your Order. Prices are quoted in Indian Rupees (INR) unless otherwise agreed. We reserve the right to change our pricing at any time, but changes will not affect confirmed Orders.

5.2 Payment Terms

Payment is due upon Order confirmation unless otherwise agreed in writing. For new clients, full payment in advance is required. For established clients, we may offer net-7 or net-15 payment terms at our discretion.

5.3 Accepted Payment Methods

  • Bank transfer (NEFT/RTGS/IMPS)
  • UPI payments
  • Online payment gateways (as available)

5.4 Late Payment

Late payments may result in suspension of Services and may attract interest at 18% per annum on the outstanding amount. We reserve the right to withhold delivery of completed documents until payment is received.

5.5 Taxes

All prices are exclusive of applicable taxes including GST. GST will be charged at the applicable rate and shown separately on invoices. Clients are responsible for any taxes applicable in their jurisdiction.

6Revisions and Corrections

6.1 Free Revisions

We offer free revisions for errors that are attributable to our preparation (e.g., typographical errors, formatting issues, or deviations from the information you provided). Free revisions must be requested within 48 hours of document delivery.

6.2 Chargeable Revisions

Revisions required due to changes in the Client's information, buyer requirements, or regulatory changes after document delivery may be charged at our standard revision rate. We will inform you of any applicable charges before proceeding.

6.3 Revision Requests

All revision requests must be submitted in writing via email or WhatsApp with clear instructions on the required changes. Verbal instructions will not be accepted for revision purposes.

7Cancellations and Refunds

7.1 Cancellation by Client

You may cancel an Order before work has commenced for a full refund. Once work has commenced, cancellations will be subject to a partial refund based on the work completed at the time of cancellation.

7.2 Cancellation by ExportFlow cloud

We reserve the right to cancel an Order if we are unable to complete it due to insufficient information, technical issues, or circumstances beyond our control. In such cases, a full refund will be issued.

7.3 Refund Policy

Refunds will be processed within 7 business days of approval. Refunds will be issued via the same payment method used for the original payment. We do not offer refunds for completed and delivered documents unless there is a demonstrable error on our part that we are unable to correct.

7.4 Non-Refundable Situations

  • Documents rejected by customs, banks, or buyers due to inaccurate information provided by the Client
  • Change of mind after document delivery
  • Delays caused by the Client's failure to provide timely information
  • Documents prepared correctly per Client instructions but later found to be non-compliant with buyer or regulatory requirements

8Client Responsibilities

By using our Services, you agree to:

  • Provide complete, accurate, and truthful information for all documents requested
  • Ensure that all export activities comply with applicable Indian and international trade laws and regulations
  • Obtain all necessary export licenses, permits, and authorizations required for your shipments
  • Verify that the documents we prepare meet the requirements of your buyers, banks, and destination country customs authorities
  • Notify us promptly of any errors or discrepancies in delivered documents
  • Not use our Services for any illegal, fraudulent, or prohibited trade activities
  • Maintain the confidentiality of any login credentials or access provided to you
  • Comply with all applicable export control laws, sanctions, and trade restrictions

9Intellectual Property

9.1 Our Intellectual Property

All content on our website, including text, graphics, logos, icons, images, templates, and software, is the property of ExportFlow cloud and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9.2 Your Documents

Documents prepared by ExportFlow cloud based on your information are owned by you upon full payment. We retain the right to use anonymized document templates and formatting for our internal purposes and portfolio.

9.3 License to Use Information

By submitting information to us, you grant ExportFlow cloud a limited, non-exclusive license to use that information solely for the purpose of preparing your requested documents and delivering our Services.

10Confidentiality

We treat all client information as strictly confidential. We will not disclose your business information, trade data, buyer/seller details, or any other confidential information to third parties except as required to deliver our Services or as required by law.

Our confidentiality obligations include:

  • Not sharing your client list, pricing, or trade terms with competitors or third parties
  • Securing all documents and data with appropriate technical measures
  • Ensuring that any sub-contractors or service providers are bound by equivalent confidentiality obligations
  • Promptly notifying you of any unauthorized access to or disclosure of your confidential information

11Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that documents will be accepted by customs authorities, banks, or buyers in any jurisdiction
  • Warranties that our Services will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, completeness, or reliability of any information on our website

We do not warrant that export documents prepared by us will comply with the specific requirements of any particular buyer, bank, country, or regulatory authority. It is your responsibility to verify compliance with all applicable requirements.

12Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPORTFLOW CLOUD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Losses arising from document rejection by customs, banks, or buyers
  • Losses arising from delays in shipment, demurrage, or detention charges
  • Losses arising from inaccurate information provided by the Client
  • Losses arising from changes in trade regulations or buyer requirements after document delivery

In any event, our total liability to you for any claims arising out of or related to our Services shall not exceed the total amount paid by you for the specific Order giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

13Indemnification

You agree to indemnify, defend, and hold harmless ExportFlow cloud and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our Services
  • Your violation of these Terms
  • Inaccurate or incomplete information you provided to us
  • Your violation of any applicable laws, regulations, or third-party rights
  • Any fraudulent, illegal, or prohibited trade activities conducted by you
  • Any claims by your buyers, banks, or customs authorities arising from documents prepared based on your instructions

14Prohibited Uses

You may not use our Services for any of the following purposes:

  • Preparing fraudulent, forged, or misleading export documents
  • Exporting goods that are prohibited, restricted, or subject to sanctions under Indian or international law
  • Circumventing customs regulations, import/export controls, or trade sanctions
  • Money laundering, trade-based money laundering, or any other financial crimes
  • Exporting dual-use goods without appropriate licenses
  • Any activity that violates the Foreign Trade Policy of India or DGFT regulations
  • Impersonating another business or individual in export documentation
  • Any activity that is illegal under applicable Indian or international law

15Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, power failures, civil unrest, or any other event that makes performance impossible or impractical. The affected party shall notify the other party as soon as practicable and shall resume performance as soon as the force majeure event ceases.

16Dispute Resolution

16.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our Services, the parties shall first attempt to resolve the matter informally by contacting us at exportflowai@gmail.com. We will make good-faith efforts to resolve disputes within 30 days.

16.2 Arbitration

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English, and the seat of arbitration shall be in India.

16.3 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the parties submit to the exclusive jurisdiction of the courts of India for any matters not subject to arbitration.

17Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify existing clients via email for material changes
  • Post a prominent notice on our website

Your continued use of our Services after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.

18Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ExportFlow cloud.

19Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and ExportFlow cloud with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
